Having an electronic signature hugely simplify your task of creating a company in Romania. This is especially valid for the non-Romanian investors who otherwise will need to phisically present themselves in front of a lawyer or a notary for ceritifying all sorts of documents. More and more Romanian state authorities are leveraging the electronic signature for improving the speed of procesing citizens / investors applications. Thus investing into an electronic signature is a very smart step to do.
If the electronic signature is issued in your country or residence (e.g. in France) it will be good enough for us (if it respects the QES Standard) to submit all neede papers to establish your company with the Romanian Trade Registry, or to modify it afterwards.
You can buy one from a national or international supliers. An incomplete list here.
Such signature will work in relation with the Romanian Trade Registry but won;w work in the relation with the Romanian Tax Authority (ANAF).
Thas is why we strongly recomend in buying and installing a signature form one of the few supliers which are recognized and authrized by ANAF. Their list is accesible here.
Most Romanian supliers of electronic signature (list here) have English support. Namirial has support in 5-6 european languages.
Both the cloud and token signatures will work for you to sign the documents with Trade Registry, ANAF and other authorities (e.g. ITM or DITL).
In our opinion, the token signature, is the best and you shuold buy, if possible, such signature. In this case you will receive a small parcel via courier and then you will need to follow a simple installation procedure.
However a Romanian suplier will only send you such certificate if you are phisically in Romania. So, If you do not live in Romania the cloud signature is good enough.
We generally do not make recomendations. All suppliers are good enough from our side. Some thoughts:
If you have a QES signature from abroad will be good enough for us to serve you (do all needed papeer work with Romanian Trade registry)
If you currenly have no electronic signatre we strongly recomend you buy it from one of the few vetted supliers by ANAF. List here. Such signature will not only serve with Trade Registry but later also with ANAF.
If you picked one of the electronic signature suplier form the above list it will nicely serve you on many other places (with the Romanian authorities) like registering with Work Agency (ITM), with Cadaster Office (ANCPI, for property matters), etc.
If you have the luxury of chosing cloud or token. We recomend token. They are generally safer and very reliable (ours still work since 2009 with no issues)
If you have a doubt between the five supliers, we would recomend you the token signature from certsign.ro. It is the signatre we know, as we use it daily, since 2009. In extremse situation (and on additional cost) we may be also guide you with first time signatures (we do a AnyDesk connection) if you cannot handle by yourself and with the help of the suplier's call centre.
